If you do not agree to these Terms, you may not access our website or use our Services.

2. Description of Services

QB Billing Inc provides professional bookkeeping and accounting software support services, including but not limited to:

• QuickBooks® troubleshooting and technical support
• Accounting software setup and configuration
• Bookkeeping services (accounts payable/receivable, bank reconciliation, etc.)
• Payroll assistance and support
• Financial data entry and record maintenance
• Financial reporting and analysis
• Consulting and advisory services related to bookkeeping and accounting software

Important: QB Billing Inc is an independent third-party service provider. We are not affiliated with, endorsed by, or connected to Intuit Inc., QuickBooks®, or any other accounting software company. We provide support services as an independent business.

3. Scope of Services

3.1 Services Provided

We provide bookkeeping support and accounting software assistance. We do not provide:

• Tax preparation or tax filing services (we can assist with tax document preparation but do not file taxes)
• Legal advice or legal services
• Audit services
• Investment advice
• CPA certification of financial statements (unless performed by a licensed CPA on our team)

3.2 Professional Advice

While our team includes certified bookkeepers and accounting professionals, our services do not constitute formal accounting opinions or certified financial statements unless explicitly stated. For tax advice, legal matters, or certified audits, you should consult with a licensed CPA, attorney, or appropriate professional.

4. Client Responsibilities

As a client of QB Billing Inc, you agree to:

• Provide accurate, complete, and timely information necessary for us to perform services
• Maintain backups of your financial data
• Provide access credentials to accounting software when necessary (we will handle these securely)
• Review and verify the work we perform
• Notify us promptly of any errors or concerns
• Pay invoices according to agreed-upon payment terms
• Maintain compliance with all applicable laws and regulations related to your business
• Use our services in a lawful manner

5. Payment Terms

5.1 Fees and Billing

Fees for our services are as described on our Pricing page or in your service agreement. Payment terms vary by service type:

• Hourly Services: Billed after services are rendered, payment due upon receipt of invoice
• Monthly Packages: Billed at the beginning of each month, payment due within 5 business days
• One-Time Projects: 50% deposit required to begin work, remaining balance due upon completion

5.2 Accepted Payment Methods

We accept major credit cards (Visa, MasterCard, American Express, Discover), ACH bank transfers, and business checks.

5.3 Late Payments

Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month (18% annually) on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances.

5.4 Price Changes

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect services already contracted or prepaid.

6. Service Level and Response Time

We strive to provide prompt, high-quality service. Standard response times are:

• Phone inquiries during business hours: Immediate to same-day response
• Email inquiries: Within 1 business day
• Service requests: Scheduled based on urgency and service plan

Response times may vary based on service complexity, volume of requests, and your service plan level. Emergency support may be available for an additional fee.

7. Confidentiality and Data Security

We understand the sensitive nature of financial information. We agree to:

• Maintain strict confidentiality of all client information
• Use industry-standard security measures to protect your data
• Only access your data as necessary to provide services
• Not disclose your information to third parties except as required by law or with your permission
• Require all employees and contractors to sign confidentiality agreements

8. Data Backup and Retention

While we maintain backups of data we work with, you are ultimately responsible for maintaining your own backups of all financial records and accounting data. We recommend regular backups of your accounting software and financial documents.

We retain client records for a minimum of 7 years in accordance with accounting best practices and legal requirements. Upon termination of services, we can provide you with copies of your records upon request.

9. Limitation of Liability

9.1 Service Warranties

We warrant that our services will be performed in a professional and workmanlike manner by qualified personnel. However, we cannot guarantee specific results or outcomes.

9.2 Limitation of Damages

To the fullest extent permitted by law, QB Billing Inc's total liability for any claims arising from our services shall not exceed the amount paid by you for services in the 12 months preceding the claim.

9.3 No Consequential Damages

QB Billing Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

9.4 Exceptions

Nothing in these Terms shall limit liability for fraud, gross negligence, willful misconduct, or violations that cannot be limited by law.

10. Errors and Corrections

We strive for accuracy in all our work. If you discover an error in our services:

• Notify us within 30 days of discovering the error
• We will investigate and correct any errors caused by our work at no additional charge
• Errors resulting from inaccurate information provided by you may require additional fees to correct

You are responsible for reviewing our work and notifying us of any issues promptly.

11. Termination

11.1 Termination by Client

You may terminate services at any time with 30 days' written notice. Monthly subscriptions will be canceled at the end of the current billing period. You are responsible for payment of all services rendered up to the termination date.

11.2 Termination by QB Billing Inc

We may terminate services immediately if:

• You fail to pay invoices within 60 days of the due date
• You breach these Terms
• You provide false or misleading information
• We determine that continuing services would be unlawful or unethical

11.3 Effects of Termination

Upon termination, we will provide you with copies of your records and cease accessing your accounts. Any prepaid fees for services not yet rendered will be refunded according to our Refund Policy.

12. Intellectual Property

12.1 Your Data

You retain all rights to your financial data and business information. We claim no ownership over your data.

12.3 Our Materials

All website content, templates, processes, and materials created by QB Billing Inc remain our intellectual property. You may not reproduce, distribute, or create derivative works without our permission.

13. Third-Party Software and Services

Our services may involve working with third-party accounting software (e.g., QuickBooks®) and other platforms. You are responsible for:

• Maintaining your own licenses and subscriptions to third-party software
• Complying with third-party software terms of service
• Any fees charged by third-party software providers

We are not responsible for the functionality, availability, or policies of third-party software.

14. Disclaimer of Third-Party Affiliation

QB Billing Inc is an independent third-party service provider. We are not affiliated with, endorsed by, sponsored by, or connected to:

• Intuit Inc.
• QuickBooks®
• Any accounting software company
• Any government agency

QuickBooks® is a registered trademark of Intuit Inc. Any references to QuickBooks® or other third-party software are for descriptive purposes only and do not imply affiliation or endorsement.

15. Indemnification

You agree to indemnify and hold harmless QB Billing Inc, its employees, and contractors from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Your violation of any law or regulation
• Your use of our services in an unlawful manner
• Inaccurate information you provide to us

16. Dispute Resolution

16.1 Informal Resolution

If you have a dispute with QB Billing Inc, please contact us first at hello@bookssupport.com to attempt an informal resolution.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.

16.3 Arbitration
